Introduction & Our Shared Goal
This Agreement governs the co-creation of educational content between Civic Loop (“the Platform”) and [Partner Organization Name] (“the Partner”) for the Civic Series.
Our shared mission is to create high-quality, accessible civic education. Civic Loop’s strong preference is to release this content under an open license to maximize its impact and reach. We also recognize that Partners may have specific needs regarding their intellectual property. This agreement is designed to find a mutually beneficial path forward.
1. The Partnership
Civic Loop and the Partner agree to co-produce a course for the Civic Loop platform, to be titled [Course Title].
2. Intellectual Property & Licensing
- 2.1. Partner’s IP: The Partner retains full ownership of the Course Content they create.
- 2.2. Grant of License to Civic Loop: The Partner grants Civic Loop a non-exclusive, perpetual, worldwide, royalty-free license to host, display, promote, and distribute the Course Content on the Civic Loop platform.
- 2.3. Public Content License (The Goal): Civic Loop’s mission is best served when content is freely shareable. Our preferred license for public-facing content is:
- Creative Commons Attribution-NonCommercial 4.0 International (CC BY-NC 4.0).
- This allows others to share and adapt the material for non-commercial purposes, with credit to the Partner.

3. Content Hosting & Branding
- The Partner will host the original video files. Civic Loop will embed these videos on a co-branded course page featuring both organizations’ logos.
- The Partner warrants that they have all necessary rights and releases for any content, footage, images, or music included in their Course Content.
4. Promotion & Cross-Promotion
- Standard Partnership: Includes a call-to-action on the course page for Civic Loop’s INTROs service.
- Brand Exclusivity Upgrade: For an annual fee of $195, the Partner may opt to remove this promotional message. Please initial:

5. Term & Termination
This agreement is effective upon signing. Either party may terminate with 30 days’ written notice. Upon termination, Civic Loop will remove the Partner’s content, and the public license (if selected) will be revoked for future use.
6. Limitation of Liability
Civic Loop shall not be liable for any indirect damages arising from this partnership. The Partner agrees to indemnify and hold Civic Loop harmless from any claims resulting from the content they provide.
7. Joint Fundraising for Course Creation
7.4. Good Faith Commitment: This clause represents a good faith commitment by both parties to collaboratively fund the creation of high-quality educational content. It is not intended to create a legally enforceable financial audit requirement.
7.1. Fundraising Efforts: Civic Loop may, at its discretion, create and display a donation request on the course preview page to help fund the creation of this Civic Series course. This request will feature the Partner’s work and will link directly to the Partner’s own public donation page.
7.2. Use of Donations: The Partner agrees that any donations received through this specific fundraising appeal (“Civic Series Donations”) will be used to support the creation, production, and delivery of the Course Content for this agreement.
7.3. Funding Goal & Notification: The initial funding goal for this course is set at $4,000. The Partner agrees to notify Civic Loop in writing once the total Civic Series Donations received for this course have reached or exceeded this amount.
