INTROs Service Agreement

1. Service Description
Civic Loop will provide the Client with the “INTROs Service,” a turnkey solution to create a single online course for the Client’s internal use. The service includes:

  • Configuration of the course structure (sections, quizzes).
  • Upon course completion, participants will be automatically emailed a certificate of completion.
  • A private discussion space for course participants. This space can be made public at Client’s discretion. Should Client have multiple courses, the discussion space will have a tag for each course that users may assign to when posting.
  • PLEASE NOTE: Client will have control of their discussion space for moderation and comment deletion as needed. It is not currently possible to assign Client control of their courses. Course changes must be made via input form, the charge for change requests is $10 per change form submitted.

2. Client Responsibilities
The Client is solely responsible for:

  • Providing all text, image, and other content for the course (“Client Content”).
  • Client will host all videos associated with their courses. YouTube is acceptable, but Vimeo hosting is highly recommended so that advertisements content do not disrupt course content.
  • Ensuring the Client Content is accurate and does not infringe upon any third-party rights. Client warrants that is has rights to any content posted and will hold Civic Loop harmless for all third-party claims.
  • Client’s Content text, image names, and share links will be provided via a .csv file formatted as specified by Civic Loop, or via an intake form on civicloop.org.

3. Intellectual Property

  • Civic Loop’s IP: Civic Loop retains all ownership of the INTROs Service platform, software, and methodology.
  • Client’s IP: The Client retains full ownership of all Client Content they provide.
  • License Grant: The Client grants Civic Loop the limited license necessary to host, display, and technically process the Client Content solely for the purpose of providing the INTROs Service.

4. Fees and Payment

  • The annual fee for the initial INTROs course is $295.
  • Each additional course created for the Client is $95 annually.
  • Payment is due upon signing this agreement.
  • Course change requests, as noted, are $10 per change form submitted payable upon submission.

5. Term and Termination
This agreement is effective upon receipt of payment. Either party may terminate the service with 30 days’ written notice. Upon termination, Civic Loop will remove Client’s course and discussion space.

6. Limitation of Liability
Civic Loop’s total liability arising out of this agreement shall not exceed the total fees paid by the Client. Civic Loop shall not be liable for any indirect or consequential damages.
