These Terms of Service (“Terms”) govern your access to and use of CivicLoop.org (“the Site”), our services, and the associated online communities and courses (collectively, “the Services”). CivicLoop (“we,” “us,” “our”) provides a platform for nonprofits, community leaders, and individuals (“Members”) to connect, learn, and take action on civic issues.
By creating an account or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use our Services.
1. Who Can Use CivicLoop
You must be at least 13 years old to use our Services. If you are under 18, you represent you have your parent or guardian’s permission to use the Services and they have read and agreed to these Terms on your behalf.
By using CivicLoop, you represent that you are not a person barred from receiving services under the laws of the United States or other applicable jurisdictions.
2. Your Account and Responsibilities
- Account Integrity: You must provide accurate information and keep your account information updated. You are responsible for all activity that occurs under your account.
- Security: You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately of any breach of security or unauthorized use of your account.
- One Account: You may not create more than one personal account.
3. Content and Intellectual Property
- Your Content: You retain ownership of any intellectual property rights in the content you create, post, or upload to CivicLoop (“Your Content”).
- License to CivicLoop: By posting Your Content, you grant CivicLoop a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, and display Your Content for the purpose of operating, developing, and providing the Services. This license ends when you delete Your Content or your account, except for content shared with others (like in a group) which may remain.
- CivicLoop’s Content: All right, title, and interest in and to the Services (excluding Your Content) are and will remain the exclusive property of CivicLoop and its licensors. This includes our trademarks, logos, and the underlying software and technology.
4. Nonprofit Hosted Communities and Courses
- Nonprofit as Host: Certain communities and courses are hosted by, or in partnership with, nonprofit organizations (“Host Organizations”).
- Host Organization’s Role: The Host Organization is the controller of the content and data within their dedicated community space. They may have their own community guidelines that supplement these Terms.
- Our Role: CivicLoop provides the technological platform. We are not responsible for a Host Organization’s management of its community or the content it posts. Disputes within a Host Organization’s community should be directed to that organization’s leaders.
5. Payment Terms
- Fees for Host Organizations: Host Organizations may be subject to annual fees for community and course hosting services, as outlined in a separate order form or on our pricing page.
- Course Fees: Some courses may require a one-time or recurring fee. You agree to pay all applicable fees and authorize us to charge your chosen payment method.
- Refunds: Fees for courses and services are non-refundable, unless otherwise required by law or specified at the point of purchase.
6. Privacy
Your privacy is critically important to us. Our Privacy Policy explains how we collect, use, and share your information. By using the Services, you agree to the collection and use of your information as described in the Privacy Policy.
7. Our Content and Conduct Guidelines
You agree not to post Content or use the Services to do anything that:
- Is illegal, predatory, or discriminatory.
- Infringes upon or violates the rights of any third party.
- Is bullying, harassing, or constitutes a threat of violence.
- Is spam, unsolicited commercial communication, or a multi-level marketing scheme.
- Contains private information of a third party without consent.
- Contains pornography or graphic violence.
- Impersonates another person or entity in a misleading way.
- Contains malicious code, such as viruses, or disrupts the integrity of our Services.
We reserve the right, but are not obligated, to remove Content and suspend or terminate users who violate these rules.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CIVICLOOP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CIVICLOOP AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT.
10. Termination
You can terminate these Terms at any time by deleting your account.
We may suspend or terminate your account or cease providing you with all or part of the Services at any time for any or no reason, including if we reasonably believe you have violated these Terms.
11. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.
Any dispute arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in Alameda County, California.
12. General Terms
- Changes to Terms: We may modify these Terms from time to time. We will provide notice of material changes, and your continued use of the Services after the effective date constitutes your acceptance of the new Terms.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms without your consent.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CivicLoop regarding the Services.
